1.Generalinformationofthetransactionbetweenrelatedparties
DalianSanyoAir-conditionerCompanyLimited(hereinafter‘DSA’)andDalian
SanyoRefrigerationCompanyLimited(hereinafter‘DSR’)areSino-foreignjoint
ventures invested by Sanyo Electric Co., Ltd. (hereinafter ‘SE’)and Dalian
RefrigerationCompanyLimited(hereinafter‘theCompany’).Themainbusiness
scope ofDSAisVRFandPACairconditioning,andDSRisconcentratedin
absorbingrefrigerationequipment(ABS)andgasheatpump(GHP).SEholds60%
equityofDSAandDSRrespectively,andtheCompanyholds40%respectively.
Inordertorapidlyestablishingbigtypeair-conditionerintegrationoperatingsystem,
theCompanyandSEandDSAsignedEquityTransferringAgreementon7thMarch,
2012.TheCompanyandSEtransferalltheirequitiesofDSAtoDSR,andDSRwill
hold100%equityofDSA.
2.BecausetheCompany’sdirectorMr.ZhangHeisalsodirectorofDSR,andthe
Company’sdirectorMr.HidetoshiArimaholdspositioninSE(SEismajority
shareholderofDSR),andthetransactionistransactionbetweenrelatedparties.
3.Thistransactionproposalhasbeenpassedatthe14thmeetingofthe5thtermof
BoardoftheCompanyheldonMarch6,2012,withthevotingresultsof7votesin
favor,0objections,0waive.RelatedDirectorMr.ZhangHeandMr.HidetoshiArima
waivedfromvotingofthisproposal.Theindependentdirectorspresentedtheir
opinionsbeforevoting.
4.Therelatedtransactionisfreefromprescriptionof‘AdministrationMeasuresfor
SignificantAssetRestructuringofListedCompanies’issuedbyCSRC,andneedn’t
approvedbythemeetingofshareholders,butneedapprovedbyDalianDevelopment
AreaEconomyandTradeBureauandDalianAdministrationforIndustryand
Commerce.
