                 对十套闲置房产进行处置。

                       ●交易实施尚需经公司2014年第三次临时股东大会审议通过                      

                       一、处置房产概述      

                       为盘活闲置资产,加快资金回笼,经公司第五届董事第四十一次                     

                 会议审议通过了《关于处置公司部分闲置房产的议案》,公司决定对                        

                 十套闲置房产进行处置。         

                       该事项尚需提交公司2014年第三次临时股东大会审议通过后方                     

                 能实施。   

                       二、房产的基本情况       

                       (一)房产所在位置:保定市北二环路北侧格林漫都小区。                       

                       (二)面积及户型:总面积1,812.72㎡,共分三种户型,分别                           

                 为4室2厅2卫、3室2厅2卫、2室1厅2卫。                           

                       (三)房产其它信息:已取得《房屋所有权证》,登记时间为2012                       

                 年3月26日,结构为钢混结构,设计用途为住宅。                     

                       (四)房产价值:根据中联资产评估集团有限公司于2014年3

                 月28日出具的《保定天威保变电气股份有限公司拟处置保定房产项                        

                 目资产评估报告》(中联评报字[2014]第152号),以2014年1月31                           

                 日为评估基准日,该十处房产账面原值为1212.742304万元,账面净                        

                 值为1174.904744万元,评估市场价值为2067.041万元,增值                              

                 892.136256万元,增值率75.9%。
