The2ndInterimShareholdersMeetingin2019ofADAMALtd.(the“Company”)has
approvedthe2018dividenddistributionplan(the“Plan”)onMay30,2019.Thedetails
oftheimplementationofthedistributionareasfollows:
I．ThePlan
Onthebasisof2,446,553,582totaloutstandingsharesoftheCompany,todistribute
RMB0.97per10shares,beforetax,ascashdividendtoallshareholders(Aftertaxis
deducted,RMB0.873forevery10sharesheldbyA-shareQFII,RQFIIandindividuals
andsecuritiesinvestmentfundsholdingrestrictedsharesissuedbeforeIPO;forA-share
shareholdersholdingrestrictedsharesissuedafterIPO,restrictedsharesforstock
incentive,andnon-restrictedoutstandingshares,differenttaxrateswillbeappliedon
thedividend:adividendofRMB0.97forevery10shareswillbedistributedfirst,then
thetaxwillbedeductedaccordingtotheactualshareholdingperiodandnumberof
sharessoldbyinvestoraftertheequityregistrationday(pleaseseethenotebelow);for
securitiesinvestmentfundsholdingrestrictedA-sharesissuedafterIPO,restricted
A-sharesforstockincentive,andnon-restrictedoutstandingA-shares,:thetaxrateshall
be10%fortheHongKonginvestorsholdingfundsshares,anddifferenttaxrateswill
beappliedonthedividenddistributedtothemainlandinvestorsholdingfundsshares;
theafter-taxdividendforB-sharenon-residententerprisesandindividualsholding
restrictedsharesissuedbeforeIPOisRMB0.873forevery10shares.Differenttax
rateswillbeappliedonthedividenddistributedtodomestic(overseas)individual
shareholders：adividendofRMB0.97forevery10shareswillbedistributedfirst,then
thetaxwillbedeductedaccordingtotheactualshareholdingperiodandnumberof
sharessoldbytheinvestoraftertheequityregistrationday).

DividendforBshareswillbedistributedinHongKongDollars.AccordingtotheArticlesofAssociationoftheCompany,theexchangeratewillbethedailyreferenceratebetweenRMBandHKD(HKD1.00=RMB0.8791)publishedbythePeople’sBankofChinaatthe1stbankday(May31,2019)followingthe2ndInterimShareholdersMeetingin2019.

DividendforBshareswillbetransferredtotheshareholders’accountsthroughtheentrustedSecurityagencyortheentrustedbankonJuly26,2019.IfshareholdersofB
