The2017AnnualShareholdersMeetingofHubeiSanondaCo.,Ltd.(the“Company”)hasapprovedthe2017dividenddistributionplan(the“Plan”)onJune28,2018.Thedetailsforimplementingthedistributionareasfollows:
I．ThePlan
ThePlanis:Takingthetotaloutstanding2,446,553,582sharesoftheCompanyasthebasis,todistributeRMB0.63per10sharesascashdividendtoallshareholders(includingtax;aftertaxisdeducted,RMB0.567forevery10sharesheldbyA-shareQFII,RQFIIandindividualsandsecuritiesinvestmentfundsholdingrestrictedsharesissuedbeforeIPO;forA-shareshareholdersholdingrestrictedsharesissuedafterIPO,restrictedsharesforstockincentive,andnon-restrictedoutstandingshares,differenttaxrateswillbeappliedonthedividend:adividendofRMB0.63forevery10shareswillbedistributedfirst,thenthetaxwillbedeductedaccordingtotheactualshareholdingperiodandnumberofsharessoldbyinvestoraftertheequityregistrationday(pleaseseethenotebelow);forsecuritiesinvestmentfundsholdingrestrictedA-sharesissuedafterIPO,restrictedA-sharesforstockincentive,andnon-restrictedoutstandingA-shares,:thetaxrateshallbe10%fortheHongKonginvestorsholdingfundsshares,anddifferenttaxrateswillbeappliedonthedividenddistributedtothemainlandinvestorsholdingfundsshares;theafter-taxdividendforB-sharenon-residententerprisesandindividualsholdingrestrictedsharesissuedbeforeIPOisRMB0.567forevery10shares.Differenttaxrateswillbeappliedonthedividenddistributedtodomestic(overseas)individualshareholders：adividendofRMB0.63forevery10

DividendforBshareswillbedistributedinHongKongDollar.AccordingtotheArticlesofAssociationoftheCompany,theexchangeratewillbethemedialratebetweenRMBandHKD(HKD1.00=RMB0.8431)publishedbyPeople’sBankofChinaatthe1stbankday(June29,2018)afterthe2017AnnualShareholdersMeeting.FuturetaxpaymentwithheldfortheB-shareindividualinvestorswilluseaforementionedexchangerate.

Theex-dividenddayofbothAsharesandBsharesisAugust15,2018.

III.ShareholdersEntitledtoReceivetheDividend
Thefollowingshareholdersareentitledtoreceivethedividend:alltheAshareholdersregisteredbyChinaSecuritiesDepository&ClearingCorporationLtd.ShenzhenBranch(“ChinaClearingShenzhenBranch”)upontheclosingofShenzhenStockExchangeintheafternoonofAugust14,2018.BythecloseoftheShenzhenStockExchangeintheafternoonofAugust17,2018(thefinaltradingdayisAugust14,2018),allshareholdersofthecompany'sBsharesregisteredbytheChinaClearingShenzhenBranch.
IV.WaysofDistribution
1.ThedistributionofAsharesdividendbytheentrustedChinaClearingShenzhenBranchwillbedirectlytransferredintotheshareholders’accountsoftheentrustedSecurityagencyorotherentrustedinstitutionsonAugust15,2018.
DividendforBshareswillbetransferredtotheshareholders’accountsthroughtheentrustedSecurityagencyortheentrustedbankonAugust17,2018.IfshareholdersofBsharestransferthecustodyof“SanondaB”onAugust17,2018,theyshouldstillwithdrawtheirdividendsattheoriginalentrustedSecurityagencyortheentrustedbank2.TheCompanywilldirectlydistributethefollowingAsharesshareholders’dividend:
