PublicAnnouncement on Resolutions of the Board of Directors
Jiangling Motors Corporation, Ltd. and its Board members undertake that the
information disclosed herein is truthful, accurate and complete and does not contain
any false statement, misrepresentation or major omission.
I. Informing of the Meeting
The Board of Directors of Jiangling Motors Corporation, Ltd. (hereinafter referred to as
‘JMC’ or the ‘Company’) sent out the relevant proposal of the Board meeting to all the
Directors on November 18, 2022.
II. Time, Place & Form of Holding the Meeting
The Board meeting was held in form of paper meeting from November 18, 2022 to
November 24, 2022. The procedure of convening and holding the meeting complied with the
stipulation of the relevant laws, administrative regulations, departmental rules, normative
documents and theArticles ofAssociation of JMC.
III. Status of the DirectorsAttending the Meeting
Nine Directors shall attend this Board meeting and nine Directors were present.
IV. Resolutions
The Directors present at the meeting approved the following resolutions in form of paper
meeting:
1. The Board of Directors elected Mr. Shengpo Wu as the Vice Chairman of JMC and as a
member of the Strategy Committee of the Board.
There were 9 votes in favor of the proposals, 0 vote against, and 0 abstention.
2. For the reason of work rotation, the Board of Directors decided that Mr. Xiang Dongping
will no longer serve as a Vice President of the Company. Upon the nomination of the
President of the Company, the Board of Directors approved to appoint Mr. Anderson Liu as
a Vice President of the Company. The personnel changes shall become effective from
November 25, 2022.
There were 9 votes in favor of the proposals, 0 vote against, and 0 abstention.
The Independent Directors of the Company, Mr. Chen Jiangfeng, Ms. Wang Yue, and Mr. Yu
Zhuoping, agreed the aforesaid personnel proposal.
Mr. Xiang Dongping will not take any post in the Company after the aforesaid personnel
changes. As of the disclosure date of the announcement, Mr. Xiang Dongping did not hold
any JMC share.
Mr.Anderson Liu’s Resume:
Mr. Anderson Liu, born in 1972, holds a Bachelor’s Degree in Liberal Arts-Psychology from
National Taiwan University, China, a Master’s Degree in Liberal Arts-Psychology from
National Chengchi University, China, and a MBA Degree from University of Pittsburgh,
USA. Mr. Anderson Liu held various positions including Financial Analyst, E-Commerce
Manager, Research Manager, Marketing Manager for FLH, Sr. Marketing Manager, VP of
VW Branch Operation, VP of MS for VW Swire, Sales Director, MS Director for FLH,
General Manager of Dealer Network Development and Consumer & Retail Experience for
Lincoln China, and Executive Vice General Manager of Jiangling Motor Sales Co., Ltd.
As of the disclosure date of this announcement, Mr. Anderson Liu did not hold any share of
the Company. Mr. Anderson Liu has no relationship with the Company, the shareholders
holding more than 5% of the shares of the Company and their actual controllers, as well as
other Directors, Supervisors and senior executives of the Company. Mr. Anderson Liu has
not been punished by China Securities Regulatory Commission or other relevant
Departments or taken disciplinary action by the Stock Exchanges, and has not been
investigated by judicial organs for suspected crimes or by China Securities Regulatory
Commission on suspicion of violations of laws and regulations. There is no the situation on
which he is prohibited to serve as a senior executive of the Company as stipulated in the
Company Law and the Articles of Association of the Company. Mr. Anderson Liu meets the
qualifications required in the laws, administrative regulations, departmental rules, normative
documents, Rules Governing Listing of Stock on Shenzhen Stock Exchange and the Articles
of Association of the Company. After the inquiry of "National Court Information Disclosure
and Inquiry Platform of Persons Subject to Enforcement for Trust-breaking", Mr. Anderson
Liu does not belong to the person subject to enforcement for trust-breaking.
V. Opinions from Independent Directors
Independent Directors, Mr. Chen Jiangfeng, Ms. Wang Yue, and Mr. Yu Zhuoping, expressed
their opinions on the personnel change proposal as follows:
1. We have been informed of the meeting agenda prior to the meeting;
2. The procedure of dismissing Mr. Xiang Dongping complied with the relevant
requirements of the laws & regulations.
3. After review of Mr. Anderson Liu’s resume, situations stipulated in Article 146 of the
Company Law and other restrictions on appointment of a listed company’s senior
executive were not identified; the procedure of the appointment of Mr. Anderson Liu
complied with the relevant requirements of th
