bidsinaseriesofcurtainwallprojectsinaseriesofreal-estatedevelopmentprojectsincluding
villaNo.1-4and11-12andthesiteviewingpagodaoftheBeijingYanqiLakeClub(centralisland),
HebeiYanjiaoSeoulTianCityPhaseI,NanjingHexiGeneralHospital(HexiChildrenHospital),
FuzhouRongqiaoJiaobingSquare,BuildingCofChengduChuantaauxiliaryfacilities(Filmand
CultureSquare),ShenzhenVankeOneCityzoneNo.1andluxuryhoteloftheBeijingYanqiLake
Club(centralisland).
II.ImpactsoftheprojectsontheCompany
1. The contract amount of the above-mentioned projects totals RMB411,199,865.71,
accountingfor29.42%ofoperatingrevenuein2012.Theprojecttermrangesbetween6and18
months.TheseprojectswilllargelypropeltheCompany'srevenuegrowthin2013andfollowing
years.However,givenfactorsincludingprepayment,engineering,acceptanceandsettlement,the
impacts depends on both parties' performance of the contracts. Therefore, impactsonthe
Company'sbusinessin2013andfollowingyearsaresubjecttoactualimplementationofthe
projects.
2.TheCompanyanditscounterpartsintheabove-mentionedprojectsarenotrelatedparties.
3.TheseprojectswillnotaffecttheCompany'sbusinessindependence.TheCompanywill
notdependonitscounterpartsintheabove-mentionedprojects.
4.Givenfactorsincludingprepayment,engineering,projectprogress,materialcosts,
acceptanceandsettlement,theprojectsmaybringuncertaintiesfortheCompany'sfiscalposition.
III.Riskanalysis
Both parties in the projects havethe capability to perform the contract.However,the
implementationoftheprojectsmaybeaffectedbyunforeseeablefactorsorforcemajeure.
