                     鉴于激励对象中董大勇和张亚婷因对其获授的股票期权和限制性股票进行             

                 了重复统计、原激励对象胡国强自愿放弃本次公司授予的股票期权和限制性股              

                 票,公司于2013年5月10日召开第九届董事会第十三次会议审议通过了《关                  

                 于调整股权激励对象名单及授予数量的议案》,对首次授予股票期权和限制性股             

                 票的对象及其授予数量进行了调整。公司首次授予的激励对象人数由367人调               

                 整为364人,本次激励计划授予激励对象的5000万份股票期权和5000万股限                 

                 制性股票调整为4930万份股票期权和4930万股限制性股票,其中:首次授予                 

                 股票期权的额度为4430万份股票期权,预留500万份股票期权;首次授予限制                

                 性股票的额度为4430万股限制性股票,预留500万股限制性股票。               

                      调整后的具体分配如下表:

                 4、股票期权行权安排和限制性股票解锁安排:         

                     股票期权激励计划:    

                     首次授予的股票期权自本次激励计划授权日起满12个月后,激励对象应在              

                 随后48个月内分四期行权。各期行权时间安排如表所示:

                     预留部分的股票期权自预留部分授权日起满12个月后,在满足本计划规定              

                 的行权条件的情况下,激励对象可在随后的36个月内分三期行权,各期行权时
